Terms of Service

By accessing or using Oryve ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you and IEB Group Wyoming LLC ("Company", "we", "us"), a Wyoming limited liability company. If you are using Oryve on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must be at least 13 years old to use Oryve. If you are under 18, you must have your parent or legal guardian's permission. By using the Service, you represent that you meet these age requirements. Oryve is currently in beta and is provided for individual, solo use only. Multi-user team access is not supported in this version.

Oryve is an AI-assisted project management tool designed for individuals managing multiple projects. Features include project tracking, task management, AI-generated daily briefings, health scoring, GitHub repository integration, and ideation workflows. The Service is provided in beta. Features may change, be removed, or be unavailable at any time without notice. We make no guarantees about uptime, availability, or feature completeness.

• ·Oryve uses Anthropic's Claude AI to generate project briefings, task suggestions, idea validations, competitor analyses, and nudges. This content is automatically generated and may be inaccurate, incomplete, outdated, or inappropriate.
• ·AI-generated content does NOT constitute professional advice of any kind — including but not limited to business advice, financial advice, legal advice, investment advice, or technical recommendations.
• ·You should independently verify any AI-generated content before acting on it. We expressly disclaim all liability for decisions made based on AI-generated content.
• ·The AI may occasionally produce hallucinated, fabricated, or factually incorrect outputs. This is a known limitation of current AI technology.
• ·By using Oryve's AI features, you acknowledge these limitations and agree that IEB Group Wyoming LLC bears no responsibility for outcomes resulting from reliance on AI-generated content.

• ·You are responsible for maintaining the security of your GitHub account, which is used to authenticate with Oryve.
• ·You are responsible for all activity that occurs under your account.
• ·You must not use Oryve to store, transmit, or process any data that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• ·You must not attempt to reverse-engineer, decompile, scrape, or otherwise extract proprietary code or data from the Service.
• ·You must not use the Service in any way that could damage, disable, overburden, or impair our servers or networks.
• ·You must not use automated tools or bots to access the Service without our written permission.
• ·You must not attempt to gain unauthorized access to any part of the Service or any connected systems.

All intellectual property in the Oryve application — including its source code, design, trademarks, and branding — is owned by IEB Group Wyoming LLC. Nothing in these Terms transfers any intellectual property rights to you. You retain full ownership of all content and data you create within Oryve, including project names, descriptions, tasks, and notes ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to store, process, and display Your Content solely for the purpose of providing the Service to you. You may not copy, reproduce, or distribute the Oryve application or its components without written permission.

When you connect a GitHub repository to Oryve, you authorize us to access that repository's public metadata (commit messages, commit dates, open pull request counts) on your behalf using your GitHub OAuth token. We access only the data necessary to provide the GitHub sync feature. We do not read, store, or transmit your repository's source code. You can revoke this access at any time via GitHub Settings → Applications → Oryve → Revoke.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IEB GROUP WYOMING LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: · IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. · ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. · ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT. · ANY WARRANTY THAT DEFECTS WILL BE CORRECTED. USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IEB GROUP WYOMING LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY: · INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. · LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL. · COST OF SUBSTITUTE GOODS OR SERVICES. · DAMAGES ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT. · DAMAGES RESULTING FROM DATA LOSS OR CORRUPTION. IN ALL CASES, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM, OR (B) USD $10.00. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON LIABILITY — IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless IEB Group Wyoming LLC and its members, officers, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections covering intellectual property, disclaimers, limitation of liability, and governing law survive termination. We reserve the right to shut down the Service entirely at any time. We will make reasonable efforts to notify users before doing so and to provide a data export.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved informally by contacting us at eureka.lucis@gmail.com. If informal resolution fails, disputes shall be resolved by binding arbitration in Wyoming, USA, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration against IEB Group Wyoming LLC.

We may update these Terms at any time. We will notify you by updating the "Last updated" date and, for material changes, by email. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

• ·Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and IEB Group Wyoming LLC regarding the Service.
• ·Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force.
• ·No Waiver: Our failure to enforce any provision does not constitute a waiver of our right to do so in the future.
• ·Assignment: You may not assign your rights under these Terms. We may assign ours without restriction.
• ·Force Majeure: We are not liable for failures caused by events beyond our reasonable control, including internet outages, third-party API failures, or acts of God.
